Welcome to Uptown Pharmacy (“Pharmacy,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of Uptown Pharmacy’s services, products, website(s), mobile communication tools, and in-person offerings (collectively, the “Services”). By accessing or using our Services, you acknowledge and agree to these Terms. If you do not agree, you must not use our Services.


 

1. Compliance with Laws and Regulations

Uptown Pharmacy operates in compliance with all applicable federal and state laws, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA), Drug Enforcement Administration (DEA) regulations, the 340B Drug Pricing Program, and applicable state Boards of Pharmacy regulations.


 

2. Eligibility and Use

Prescriptions for minors under the age of 18 must be submitted, managed, and authorized by a parent, legal guardian, or other individual legally authorized to act on the minor’s behalf.

You must be at least 18 years of age (or the age of majority in your state) to use our Services independently.
If you are using our Services on behalf of a minor or another individual, you represent that you are legally authorized to do so.

You agree not to misuse or interfere with our Services, attempt unauthorized access, or violate applicable laws.


 

3. Health Information & HIPAA Compliance

Our full Notice of Privacy Practices is available at https://uptp.340bmarketing.com/privacy-policy/ and is incorporated into these Terms by reference. By using our Services, you agree to the terms of our Privacy Policy and Notice of Privacy Practices.
Uptown Pharmacy protects all Protected Health Information (PHI) in compliance with HIPAA.

By using our Services, you acknowledge that your personal health information may be used and disclosed as described in our Notice of Privacy Practices.
Communication methods such as text messaging, email, or other digital channels may not always be fully secure. By opting into these communications, you accept any associated risks.


 

4. Services Offered

Uptown Pharmacy provides the following:

Clinical and Wellness Services: Flu shots, immunizations, InBody scale assessments, wellness checks, and strip packaging.

Medication Services: Medication Therapy Management (MTM), Medicare Part B medication dispensing, Over-the-Counter (OTC) approved products, HSA/FSA eligible products, and Patient Assistance Programs (PAP).

Specialty Programs: Pharmacogenetic (PGx) testing, manufacturer partnerships, and 340B program participation.

Provider Support Services: Prior authorization assistance, collaborative practice agreements, clinical pharmacist support, Remote Patient Monitoring (RPM), Chronic Care Management (CCM), and Transitional Care Management (TCM).

Digital Services: Two-way patient–pharmacy texting communication.

Important:

Services are provided on an “as available” basis and may vary by state law and eligibility.
None of our Services replace a licensed physician’s medical advice. Always consult your healthcare provider for medical concerns.


 

5. No Medical Advice Disclaimer

Information provided by Uptown Pharmacy, whether on our website, in-store, via text, or through consultations, is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have.


 

6. Prescription Compliance

We will only dispense medications if and when we have received a valid prescription from a practitioner licensed in the patient’s jurisdiction. We reserve the right to refuse to fill prescriptions that do not comply with legal or safety standards, or that we reasonably believe are invalid, fraudulent, or noncompliant with applicable laws.

Prescription Submission & Verification: Before completing any order for prescription medications, you must upload, fax, or otherwise transmit a valid prescription. We will verify prescriptions with the prescribing provider. Orders will not be filled until verification is complete. In certain cases, we may contact you or the prescriber for clarification.

By submitting a prescription or placing a pharmacy order, you represent and warrant that: (a) you reside in a jurisdiction where we are permitted to dispense; (b) the prescription is valid, lawful, and was issued by a practitioner authorized in your state; (c) you will not use the medication unlawfully; (d) all information you provide is accurate and complete.

Service Area & Jurisdictional Limitations

We currently deliver only to addresses within the states or jurisdictions where our services are legally permitted. We reserve the right to refuse service or shipments to locations where local or state law prohibits dispensing or where we do not hold requisite licenses. Customers outside our service area may not use portions of our Services requiring prescription dispensing.


 

7. Insurance, Payment & Billing

Patients may request information about pricing, including cash prices for prescription medications, prior to purchase. Uptown Pharmacy will provide such information in compliance with applicable state and federal transparency requirements.

Certain Services may be covered by insurance, Medicare, Medicaid, or third-party payers. Coverage is subject to eligibility and approval by the payer.

Patients are responsible for all charges not covered by insurance, including copays, deductibles, or denied claims.

Uptown Pharmacy reserves the right to change prices or discontinue Services at any time.

Adverse Event Reporting & Complaints

If you experience side effects or adverse reactions to medications obtained through our Services, or have complaints about our services, you may contact us at /

We will investigate and respond within 2 business days in case of non-critical reports, while the time span may vary in case of serious cases, which are escalated for further investigation. We may also provide instructions to contact appropriate regulatory bodies (e.g., FDA MedWatch).


 

8. Patient Responsibility

By using our Services, you agree:

To provide accurate, complete, and up-to-date personal and health information.

To follow all instructions given by Uptown Pharmacy staff regarding medication and treatment.

To use all prescribed medications safely and only as directed.


 

9. Cancellations, Changes & Returns.

Because of regulatory and safety requirements, we generally do not accept returns of prescription medications once dispensed. You may cancel or modify an order prior to shipment. Refunds will be handled according to our refund policy ().


 

10. Text Messaging & Electronic Communications

By enrolling in our texting service, you consent to receive SMS messages from Uptown Pharmacy.

Standard message and data rates may apply.

Text messages should not be used for medical emergencies. Call 911 in an emergency.


 

11. Third-Party Services & Partnerships

Uptown Pharmacy may provide links or partnerships with third-party service providers (e.g., manufacturers, testing labs, PAP administrators).

We do not control and are not responsible for the content, policies, or practices of third parties. Use of such services is at your own risk.

We require that any third-party partners, pharmacies, laboratories, or affiliates involved in fulfilling any part of your order comply with applicable laws, regulations, and the standards set forth in these Terms. We reserve the right to audit, suspend, or terminate any partner relationship for non-compliance.


 

12. Limitation of Liability

To the maximum extent permitted by law:

  • Uptown Pharmacy disclaims all warranties, express or implied, regarding our Services.
  • Uptown Pharmacy, its affiliates, employees, or contractors shall not be liable for any damages (direct, indirect, incidental, consequential, or punitive) arising out of your use or inability to use our Services, even if advised of the possibility of such damages.
  • Our total liability to you for any claims shall not exceed the amount paid (if any) for the specific Service giving rise to the claim.

 

13. Indemnification

You agree to indemnify, defend, and hold harmless Uptown Pharmacy, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, costs, or expenses (including reasonable attorney’s fees) arising out of:

  • Your misuse of our Services.
  • Your violation of these Terms.
  • Your violation of any rights of another person or entity.

 

14. Termination

Uptown Pharmacy reserves the right to suspend or terminate Services at its discretion for any reason, including suspected misuse, nonpayment, or violation of law or these Terms.


 

15. Intellectual Property

All content, logos, designs, and materials provided by Uptown Pharmacy are the property of Uptown Pharmacy and are protected by copyright, trademark, and other intellectual property laws.


 

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the state in which Uptown Pharmacy operates. Any disputes shall be resolved through binding arbitration, except where prohibited by law.


 

17. Modifications to Terms

We may update these Terms at any time. Updated versions will be posted on our website with a revised effective date. Continued use of our Services constitutes acceptance of the updated Terms.

If any provision of these Terms is held invalid or unenforceable by a court, the remaining provisions will continue in full force and effect. Moreover, no failure or delay by us in exercising any right under these Terms shall operate as a waiver thereof, unless in writing signed by us.
